If you do not agree, you must not use the Services.

If you are entering into these Terms on behalf of a company or other organization, you represent and warrant that you have authority to bind that organization, and “you” refers to both you individually and the organization.

2. Scope of Services

Northern Frame Productions Ltd. provides production and post-production services, which may include, without limitation:

  • Commercial video production
  • Corporate interviews and brand films
  • Studio set design and build

  • Livestream and event production

Specific deliverables, timelines, usage rights, revision limits, and technical specifications may be set out in a quotation, proposal, production agreement, or statement of work. If there is any conflict between such documents and these Terms, the signed or expressly agreed written project document will prevail to the extent of the conflict.

Northern Frame Productions Ltd. may use subcontractors, freelancers, vendors, or third-party service providers to perform part or all of the Services, provided that such use does not materially reduce the standard of performance agreed in the applicable project documents.

  • Cooperate in good faith with Northern Frame Productions Ltd. and respond promptly to requests for approvals, materials, and feedback;
  • Obtain and maintain all necessary rights, licenses, permissions, location access, releases, and consents required for your content, talent, property, trademarks, music, and other materials supplied by you or requested for the project;

  • Make available any required personnel, facilities, equipment, or access in a timely manner where applicable;
  • Review deliverables promptly and provide consolidated feedback within the timeframe specified in the project documents;
  • Comply with all applicable laws, regulations, permits, venue rules, safety requirements, and insurance obligations relating to your project or event; and
  • Not use the Services for unlawful, defamatory, harassing, misleading, discriminatory, or otherwise harmful purposes.

You are responsible for securing any third-party permissions and releases needed for the use, publication, distribution, or broadcast of your project materials. Unless expressly agreed otherwise in writing, Northern Frame Productions Ltd. is not responsible for obtaining talent, music, location, or copyright clearances on your behalf.

4. Payment Terms and Conditions

Fees, deposits, milestones, retainers, overtime charges, equipment charges, travel expenses, and other costs will be set out in the applicable quotation, proposal, or statement of work. Unless otherwise stated in writing:

  • A non-refundable deposit or retainer may be required before booking or commencement of work;
  • Invoices are payable within the period stated on the invoice;
  • All amounts are in Canadian dollars unless otherwise stated;
  • Taxes, including GST/HST and any applicable provincial taxes, will be charged where required by law;
  • Late payments may accrue interest at the maximum rate permitted by law, or if no rate is stated, at 2% per month compounded monthly (24% per annum), whichever is lower;
  • Northern Frame Productions Ltd. may suspend work, delay delivery, or withhold final assets until all outstanding amounts are paid in full; and
  • You are responsible for all reasonable collection costs, including legal fees on a solicitor-client basis where permitted by law.

Estimates are based on the project scope described at the time of quoting. If the scope changes, including additional revisions, rush turnaround, reshoots, added locations, extra deliverables, or expanded usage, Northern Frame Productions Ltd. may issue a change order and adjust fees and timelines accordingly.

5. Cancellation and Refund Policy

If you cancel a project or booking, you must provide written notice to Northern Frame Productions Ltd. Cancellation fees may apply to recover committed time, pre-production work, booked labour, rentals, studio preparation, travel costs, and non-recoverable third-party expenses.

Unless otherwise agreed in writing:

  • Deposits and retainers are non-refundable once work has commenced or resources have been reserved;
  • If cancellation occurs after pre-production or production begins, you may be charged for all work completed to date, plus any committed third-party costs;
  • If Northern Frame Productions Ltd. cancels due to non-payment, unsafe conditions, incomplete information, or your breach of these Terms, amounts already paid are not refundable except where required by law;
  • Post-production services already performed are non-refundable; and
  • Approved deliverables are final and non-refundable unless a specific defect is identified and correction is reasonably possible under the agreed scope.

Rescheduling requests are subject to availability. Additional fees may apply where dates, personnel, studio time, or rental commitments must be rebooked.

6. Liability Limitations

To the fullest extent permitted by applicable Canadian law, Northern Frame Productions Ltd., including its directors, officers, employees, contractors, and agents, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, opportunity, data, or anticipated savings, arising out of or in connection with the Services or these Terms, whether in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.

To the fullest extent permitted by law, the total aggregate liability of Northern Frame Productions Ltd. for any claim arising out of or relating to the Services or these Terms shall not exceed the total amount actually paid by you to Northern Frame Productions Ltd. for the specific Services giving rise to the claim in the three (3) months preceding the event giving rise to liability, or CAD $5,000, whichever is less, except where such limitation is prohibited by law.

Northern Frame Productions Ltd. does not guarantee that any project will achieve a particular commercial outcome, audience response, platform approval, broadcast acceptance, search ranking, or business result.

Nothing in these Terms excludes or limits liability to the extent it cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or any other liability that cannot legally be limited.

10. Changes to Terms

Northern Frame Productions Ltd. may update or modify these Terms from time to time. The revised Terms will be posted or otherwise made available with a new effective date.
